This California Consumer Privacy Act Privacy Policy (“Privacy Policy”) explains how UPSHOT Leagueco, LLC (“we,” “us,” or “our”) collects, uses, discloses, “shares,” and “sells” personal information of California residents, and describes the rights California residents have under the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act (collectively, the “CCPA”). This Privacy Policy applies to personal information we collect online and offline, including through our websites, mobile applications, products, services, and in-person interactions. Capitalized terms used in this Privacy Policy have the meanings assigned to them in the CCPA.

Notice at Collection
We collect personal information directly from you, automatically from your devices and interactions with our services, and from third parties such as business partners, data providers, advertising networks, and publicly available sources. We collect the categories of personal information described below. We collect this personal information for the business and commercial purposes described in the “How We Use Personal Information” section. We retain personal information as described in the “Data Retention” section. Providing personal information may be required to enter into or perform a contract, fulfill your requests, or comply with law. If you do not provide personal information when requested, we may not be able to provide certain services.
Categories of Personal Information We Collect
We collect the following categories of personal information as defined by the CCPA: identifiers such as real name, alias, postal address, unique personal identifier, online identifier, Internet Protocol address, email address, account name, and similar identifiers; customer records information such as billing address, payment card details (processed by our payment processors), and other financial information; characteristics of protected classifications under California or federal law, where you choose to provide them, such as age and gender; commercial information such as products or services purchased, obtained, or considered, and purchase histories or tendencies; internet or other electronic network activity information such as browsing history, search history, and information regarding your interactions with our websites, applications, emails, and advertisements; geolocation data such as imprecise and, where enabled by you, precise location information from your device; audio, electronic, visual, or similar information such as recorded customer support calls or voicemails; professional or employment-related information such as job title, employer, and business contact details; education information, where applicable, such as school or degree, if you choose to provide it; inferences drawn from any of the information identified to create a profile about a consumer reflecting preferences, characteristics, and predispositions; and sensitive personal information as defined by the CCPA, which may include account log-in credentials, precise geolocation, financial account information with associated security codes, contents of messages not directed to us but processed through our services where applicable, and demographic data revealing race or ethnicity if voluntarily provided in designated contexts. We do not collect sensitive personal information for the purpose of inferring characteristics about you.
In particular, we have collected the following categories of personal information from consumers within the last twelve (12) months:

Sources of Personal Information
We collect personal information directly from you when you create an account, make a purchase, contact customer support, participate in surveys, or otherwise interact with us. We collect personal information automatically through cookies, pixels, software development kits, and similar technologies when you use our websites and applications. We also receive personal information from third parties including business partners, payment processors, analytics providers, advertising networks, social networks, data brokers, and from publicly available sources. How We Use Personal Information
We use personal information for the following business and commercial purposes: providing, operating, and maintaining our products and services; processing transactions and payments; verifying your identity and preventing fraud, security incidents, and other malicious, deceptive, or illegal activity; debugging to identify and repair errors that impair functionality; performing services on our behalf, including customer service, order fulfillment, account servicing, and similar activities; conducting internal research and development, including to improve, upgrade, or enhance our services; engaging in short-term, transient use such as contextual advertising; undertaking activities to verify or maintain the quality or safety of a service and to improve, upgrade, or enhance it; personalizing and optimizing your experience, including content and recommendations; marketing and advertising, including cross-context behavioral advertising and audience measurement; complying with legal obligations and enforcing our Policies; and supporting corporate transactions such as mergers, acquisitions, or asset transfers.
Sharing Personal Information
We disclose personal information to service providers and contractors who process personal information on our behalf for business purposes such as hosting, payment processing, data analytics, marketing support, customer service, and security. We also disclose personal information to business partners with whom we offer jointly branded services or engage in co-marketing activities. We may disclose personal information to third parties in connection with corporate transactions, such as mergers, acquisitions, divestitures, or asset sales. We disclose personal information as necessary to comply with law, legal process, or government requests; to enforce our Policies; to protect our rights, privacy, safety, or property, and that of you or others; and to detect, prevent, or address security, fraud, or technical issues. In the preceding twelve (12) months, we have disclosed personal information for a business purpose to the categories of third parties indicated in the chart below.
Under the CCPA, “sell” means disclosing personal information to a third party for monetary or other valuable consideration, and “share” means disclosing personal information to a third party for cross-context behavioral advertising. We may “sell” or “share” identifiers, Internet or electronic network activity information, commercial information, geolocation data, and inferences for advertising and marketing purposes. We do not knowingly sell or share personal information of consumers under sixteen (16) years of age. In the preceding twelve (12) months, we have not sold personal information. You may opt out of the “sale” or “sharing” of your personal information at any time as described in the “Your California Privacy Rights” section.

Use and Disclosure of Sensitive Personal Information
We use and disclose sensitive personal information only for purposes that are reasonably necessary and proportionate to provide the services you request, to prevent fraud and ensure the security and integrity of our systems, to verify or maintain the quality or safety of our services, to perform services on behalf of the business, or for other purposes permitted by the CCPA regulations. We do not use or disclose sensitive personal information to infer characteristics about you. You may request to limit certain uses or disclosures of sensitive personal information as described below if our practices extend beyond these permitted purposes.
Data Retention
We retain personal information for as long as reasonably necessary to fulfill the purposes for which it was collected, to satisfy legal, regulatory, tax, accounting, or reporting requirements, to resolve disputes, and to enforce our agreements. We determine the appropriate retention period based on the nature and sensitivity of the personal information, the potential risk of harm from unauthorized use or disclosure, the purposes for which we process it, whether we can achieve those purposes through other means, and applicable legal requirements. When we no longer need personal information for these purposes, we will delete, de-identify, or aggregate it in accordance with our retention policies and applicable law.
Your California Privacy Rights
California residents have the following rights under the CCPA, subject to certain exceptions and verification requirements. You have the right to know and access the categories and specific pieces of personal information we have collected about you, the categories of sources from which the personal information is collected, our business or commercial purposes for collecting, selling, or sharing personal information, the categories of third parties to whom we disclose personal information, and the categories of personal information we have sold, shared, or disclosed for a business purpose. You have the right to request deletion of personal information we collected from you, subject to certain exceptions. Verification, Authorized Agents, and Appeals
We will take steps to verify your identity to a reasonable degree of certainty before processing your request, which may include matching information you provide with information we maintain, requiring you to log in to your account, or using a third-party identity verification service. If you use an authorized agent to submit a request, we may require the agent to provide written authorization signed by you or a valid power of attorney, and we may require you to verify your identity directly with us. If we deny your request in whole or in part, we will explain the reasons for the denial. Children’s Privacy
Our services are not directed to children under sixteen (16), and we do not knowingly collect, sell, or share personal information of consumers under sixteen (16) years of age. If we learn that we have collected personal information from a child under sixteen (16), we will delete it as required by law.
California Notice of Financial Incentive
We may offer programs, benefits, or other promotions that may be considered a “financial incentive” under the CCPA, such as discounts or rewards in exchange for personal information like your email address. Participation is voluntary. When you sign up, we will present program terms, including a description of the material terms, the categories of personal information involved, how the value of the incentive is reasonably related to the value of your data, and how to opt in. You may withdraw at any time by following the instructions provided or contacting us at info@theupshotleague.com. We will not discriminate against you for opting out.
De-Identified and Aggregated Information
We may use de-identified and aggregated information for research, development, analytics, and other lawful purposes. When we de-identify personal information, we take reasonable measures to ensure the information cannot be associated with you, commit to maintain and use the information in de-identified form, and do not attempt to re-identify it except to test our de-identification processes.
Information Security
We implement reasonable and appropriate technical, administrative, and physical safeguards designed to protect personal information from unauthorized access, disclosure, alteration, and destruction. However, no method of transmission over the Internet or method of electronic storage is completely secure, and we cannot guarantee absolute security.
International Data Transfers
If you access our services from outside the United States, you acknowledge that your personal information may be transferred to, stored, and processed in the United States and other countries where we or our service providers maintain operations, which may have data protection laws that are different from those of your jurisdiction.
Changes to This Privacy Policy
We may revise this Privacy Policy from time to time. The “Last Updated” date at the top of this Privacy Policy indicates when it was last revised. Any changes will take effect when we post the revised Privacy Policy, unless a different effective date is stated. We did not knowingly sell or share the personal information of consumers under sixteen (16) years of age. We used and disclosed sensitive personal information only for permitted purposes and did not process sensitive personal information to infer characteristics.
Metrics and Reporting
If required by law or regulation based on our annual processing volume, we will publish required metrics related to consumer requests and our responses. Where applicable, we will make such metrics available through our website or upon request.
